The choice between a holding company vs subsidiary in India in 2026 turns on three variables, tax efficiency (especially after the Income-Tax Act changes effective 1 April 2026), operational control, and liability isolation. A holding company and a subsidiary are not the same thing: one exists to own, the other to operate, and selecting the wrong structure can lock in avoidable withholding tax, regulatory friction, or upstream creditor exposure for years.
